1. Scope
These General Terms and Conditions (GTC) apply to the agreed advisory services between Jeffrey Haindl, CFA, a partner of STUZZ (“we,” “us”), and you (“Client,” “you”). These GTC apply exclusively to clients who are U.S. persons (in particular U.S. citizens, U.S. green card holders and other U.S. persons for tax purposes) and who reside in Switzerland. For all other advisory clients, the separate GTC at www.stuzz.ch/agb-beratung apply.

2. Scope of Services
The scope of the advisory services is defined in the respective quote. We provide investment advice under the Swiss Financial Services Act (FinSA) as well as advice on retirement planning and wealth building. We do not manage assets and hold no power of attorney over your accounts or custody accounts.
We consider Swiss and U.S. tax aspects in general terms. Tax-return preparation, PFIC calculations, U.S. reporting obligations (e.g. FBAR, Form 8938) and binding tax or legal advice are not part of our services and remain with your tax adviser. Our recommendations are based on the information you provide; please inform us fully and promptly of any material changes in your situation.

3. Fees and Appointments
Our advisory services are billed on a time-spent basis at the hourly rate stated in the quote. Additional work is only carried out with your prior approval. Invoices are payable within 30 days.
Advisory appointments may be rescheduled free of charge up to 24 hours in advance.

4. Client Rights and Complaints Procedure
You have the right to request information at any time about the financial services we provide and about the processing of your personal data.
If any disagreement arises, please contact us directly first. We always strive to reach an amicable solution.

5. Registration and Ombudsman
Jeffrey Haindl, CFA, is registered in the Swiss register of client advisers under FinSA, maintained by BX Swiss AG (regservices.ch), a registration body authorized by the Swiss Financial Market Supervisory Authority (FINMA). Registration requires proven knowledge of the FinSA rules of conduct, ongoing professional training, professional liability insurance and affiliation with a recognized ombudsman office. The register entry can be verified at: https://www.regservices.ch/advisor/?id=JH67507

We treat all clients as retail clients within the meaning of FinSA and thus grant the highest level of protection.

If no agreement can be reached, you may initiate free mediation proceedings with the following ombudsman office:
Ombudsman for Financial Service Providers (Ombudsstelle für Finanzdienstleister, OFD), Bleicherweg 10, 8002 Zurich, Switzerland, phone +41 44 562 05 26, ombudsmann@ofdl.ch, www.ofdl.ch
The ombudsman office is an independent mediation body under FinSA.

6. Risks and Liability
Investments in financial instruments involve risks, up to the loss of the capital invested. General information is provided in the brochure “Risks Involved in Trading Financial Instruments” published by the Swiss Bankers Association.
We provide advisory services only and do not provide asset management. You make your own investment and other financial decisions. We accept no liability for these decisions, in particular for price losses or adverse market developments.

7. Third-Party Compensation
We work exclusively on a fee basis. We receive no affiliate or other third-party compensation in connection with our advisory services for U.S. persons.

8. Ethical Business Conduct
We are committed to responsible, transparent and ethically sound business conduct. Unethical conduct is not tolerated, either in our own activities or in our dealings with business partners. We comply with all applicable laws, regulations and professional rules, as well as with the principles of proper and fair business practice.

9. Data Protection
We process your personal data to initiate, perform and administer the contract and in accordance with our Privacy Policy (www.stuzz.ch/datenschutz). Where necessary, we engage service providers (data processors) that are contractually bound to comply with equivalent data protection standards.
You may object to the processing of your data for direct marketing purposes at any time. We may be required to disclose information by order of a government authority or court.

10. Confidentiality
Both parties shall treat as confidential all information exchanged or obtained in connection with the provision of the services. This obligation continues after the services have been provided or the contract has ended.

11. Governing Law and Jurisdiction
These GTC are governed exclusively by Swiss law. The place of jurisdiction is Zurich, Switzerland, to the extent permitted by law.
